Your Next Career Opportunity – Corporate Counsel, Assistant Corporate Secretary
Act as the right hand to SBA's EVP, Chief Administrative Officer and General Counsel to provide legal support and counseling to SBA and its Board of Directors in connection with corporate governance, securities law compliance, periodic reporting, capital markets transactions, sustainability and other general corporate matters. Serve as Assistant Corporate Secretary to assist in managing, implementing, and optimizing the corporate governance practices and procedures and the corporate secretarial function for SBA's publicly traded parent company and its numerous subsidiaries around the world. Serve as a strategic partner to SBA's Finance, Reporting, Tax Sustainability, Internal Audit, Investor Relations, Corporate Affairs and Mergers & Acquisitions functions.
What You Will Do – Primary Responsibilities
Drive strong corporate governance and related process for SBA's U.S. publicly traded parent company and domestic and international subsidiaries, including providing strategic advice and expert counsel to key stakeholders on recent developments and best practices in corporate governance, disclosure, and policies and procedures.
Manage the administration of the corporate secretarial function, including drafting Board meeting agendas, minutes, consents, resolutions, presentations, and other Board meeting materials.
Oversee all corporate organizational matters for SBA's U.S. and international subsidiaries, including entity formation, internal reorganizations, maintenance of corporate books, and filing of annual reports, and coordinate with local in-house and external counsel for corporate subsidiary management in international markets.
Assist in shareholder engagement initiatives and the analysis and response to shareholder proposals and proxy advisory service positions.
With the General Counsel, SBA's Finance, Reporting, Investor Relations, Sustainability and Corporate Affairs departments and outside counsel, oversee SBA's securities law compliance program, including periodic reporting, related policies and procedures and the preparation of proxy/annual meeting materials.
Support SBA's corporate sustainability function and partner with internal functional groups and outside counsel to develop programs, prepare reports, and achieve disclosure-readiness for applicable regulations.
Provide legal support for SBA's capital markets transactions and manage outside counsel and internal resources in connection with SBA's corporate debt and equity financing arrangements, including secured credit facilities, mortgage-backed securitizations, senior notes and common stock.
Oversee a broad range of U.S. and international corporate and securities compliance matters, including anti-bribery and anti-corruption (FCPA), economic sanctions/trade, privacy, and data security, and administration of SBA's insider trading policy, including the pre-clearance of insider trades, the maintenance of blackout periods, and the filing of Section 16 reports.
Oversee various intellectual property matters, including the filing and maintenance of trademarks.
Collaborate with other departments, including Tax, Accounting, Business Development, and Mergers & Acquisitions on the corporate and capital structuring of various operations and initiatives and the drafting /negotiating of intercompany loans, joint ventures, and other corporate instruments.
Assist SBA's Finance and Tax departments with SBA's REIT compliance program.
Assist the General Counsel in analyzing, implementing, and advancing various technological and metric reporting programs throughout the Legal Department to maintain current and best in-class legal operations.
Assist with other general corporate matters.
Directly manage outside counsel and in-house paralegals and administrative support staff as assigned by the General Counsel. May direct activities of attorneys and other resources assigned by the General Counsel. Otherwise, expected appropriate matrix management.
Other projects and duties as assigned.
What You'll Need – Qualifications & Requirements
Required: Juris Doctorate (JD);
Law firm and 5+ years' experience in corporate governance, securities law compliance, corporate finance and other general corporate matters.
Strongly preferred: prior in-house public company experience.
Preferred: wireless industry and/or international/cross border experience.
Membership in Florida bar or the bar of at least and U.S. State with the ability to become Authorized House Counsel in Florida Required.
